Important information

Please read this before using collarandcore.com, any Collar & Core project room, or any material we send you. It explains who we are, what we do and do not do, who our communications are for, and the risks of investing in mining companies.
Who we are
Collar & Core is a trading name of Nova Summits Limited, a private limited company registered in England and Wales with company number 14358898. Our registered office is 4 King Square, Bridgwater, Somerset TA6 3YF, United Kingdom. You can contact us at hello@collarandcore.com.
Regulatory status
Collar & Core is not authorised or regulated by the Financial Conduct Authority (FCA) or by any other financial regulator.
We provide project promotion services to mining companies and introduce those companies to potential investors and strategic partners. We do not:
- give investment, legal, tax or accounting advice, or recommend that any person buys, sells or holds any investment;
- manage investments or make investment decisions for anyone;
- arrange, negotiate, execute or settle transactions in investments;
- hold or handle money, securities or other assets for investors or companies.
Any investment is made directly between the investor and the company, or through a firm that is authorised to carry on the relevant regulated activity, under documents the company provides. Where a regulated activity is needed in connection with a transaction, it is carried out by an appropriately authorised firm, not by us.
Because we are not regulated, you will not have access to the Financial Ombudsman Service or the Financial Services Compensation Scheme in relation to our services.
Who our communications are for
Communications about specific companies or investment opportunities, including project rooms, teasers, decks and introductions, are directed only at persons in the United Kingdom who are:
- investment professionals within the meaning of article 19 of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005 (the "Order");
- high net worth companies, unincorporated associations, partnerships or trusts within article 49 of the Order;
- certified high net worth individuals within article 48 of the Order, or certified sophisticated investors or self-certified sophisticated investors within articles 50 and 50A of the Order, who have signed the required statement within the last 12 months;
- or other persons to whom such communications may lawfully be made.
Outside the United Kingdom, these communications are directed only at persons to whom they may lawfully be made under local law, such as professional, institutional, qualified or accredited investors. They are not directed at retail investors anywhere.
If you do not fall within one of these categories, you must not act or rely on any communication about a specific investment. Before we make an introduction, we may ask you to confirm your investor category and to sign the relevant statement.
Nothing on this website is an offer to sell, or a solicitation of an offer to buy, any securities. Any offer is made only by the company concerned, in its own documents and in accordance with the law that applies to it.
Project information
Project rooms and other materials are built from information the company has already made public, such as its stock exchange announcements, mineral resource and reserve statements and technical reports, or information it has authorised us to use. We present that information in a new way, for example by drawing drill holes in three dimensions, recalculating headline intercepts from published assays, or comparing a company's valuation with its peers.
- We do not verify a company's information independently and we do not act as a competent or qualified person under the JORC Code, NI 43-101 or any similar code.
- Visualisations are simplified. Drill holes may be drawn straight, terrain may be stylised and grades may be shown as downhole widths rather than true widths. Each project room explains its own limitations.
- Valuation comparisons use public market data on a stated date and can change quickly. They are illustrative and are not a valuation or a recommendation.
- We never use or pass on inside information. If a company gives us information that has not been published, we will not use it in a project room or share it with investors.
How we are paid and conflicts of interest
Collar & Core is paid by the companies it works for. Our fees may include a success fee calculated on capital raised from investors we introduce, paid in cash and in warrants or options over the company's shares. We may therefore benefit if a transaction completes, and we may hold an interest in the companies we promote.
Every project room says whether it was commissioned by the company. Where a company has engaged us, the room says so. A showcase room built from public information without the company's involvement is labelled as such and does not mean the company endorses us or our work.
We do not accept payment from investors for introductions to companies we are paid to promote.
Risk warning
Investing in mining exploration and development companies carries a high level of risk. You could lose all of the money you invest. In particular:
- exploration results do not mean that an economic deposit exists, and mineral resources are not reserves;
- projects can be delayed, cost more than planned or fail to reach production;
- companies often need to raise more money, which can dilute existing shareholders;
- shares in smaller listed companies and in private companies can be hard to sell and their prices can move sharply;
- commodity prices, exchange rates, permitting, and political and legal conditions in the countries where projects sit can all change the value of an investment.
Past performance and forecasts are not reliable indicators of future results. You should make your own assessment and take independent professional advice before investing.
Forward-looking statements
Some material may include statements about future events, such as development timelines, production targets, study economics or gold prices. These are the company's or the market's expectations at a point in time, involve known and unknown risks, and may turn out to be wrong.
